    Terms and Conditions

    The comprehensive legal agreement governing your use of the Salp.shop marketplace.

    1. Scope & Operator Identity

    The Platform is operated by Salp B.V. ("we", "us", "our"), a company registered in the Netherlands.

    These Terms govern all purchases made via the Platform. Mandatory consumer protection laws of your country of residence apply as a minimum baseline.

    2. The Marketplace Model & Seller Identity

    Salp.shop operates as a multi-vendor EU marketplace. The identity of the "seller" depends on the logistical routing and dispatch origin of your order:

    • Cross-Border Purchases (Deemed Supplier): If the products are shipped to you from a warehouse facility located in a different EU country than your delivery address, Salp B.V. acts as the seller of record under the undisclosed agent/commissionaire rules (Article 14(2)(c) of the EU VAT Directive). Your contract of sale is with Salp B.V.
    • Domestic Purchases (Disclosed Agent): If the products are shipped to you from a warehouse facility located in the same EU country as your delivery address, the vendor is the direct seller of record. Salp B.V. acts as a facilitating agent. Your contract of sale is with the vendor.

    The specific seller for your transaction will be clearly identified on your order confirmation and invoice. Vendor identity is also displayed on each product listing as required by the Digital Services Act (DSA). All vendors are subject to mandatory verification of their business registration and EU VAT status before being permitted to sell on the Platform, in compliance with the Digital Services Act (DSA) and other applicable EU laws.

    3. Product Information & Pricing

    Product information is provided by the respective vendors. All prices are displayed in Euros (€) and are inclusive of applicable VAT for your destination country.

    • Price Reductions: Any displayed price reduction references the lowest price offered for that product in the prior 30 days.
    • Personalized Pricing: We do not use automated decision-making or profiling to present personalized prices.

    4. Ordering & Contract Formation

    To place an order:

    1. Add items to your cart.
    2. Proceed to checkout, provide shipping and billing details.
    3. Select a payment method and click "Place Order".

    The contract of sale is formed when you receive an order confirmation email. We reserve the right to reject orders due to stock unavailability, fraud detection, or compliance issues.

    5. Payment

    We accept various payment methods, processed securely via Stripe (e.g., credit cards, iDEAL, Bancontact). Payment is processed at the time of order in EUR. We do not store raw card data. An electronic invoice will be provided for every order.

    6. Delivery & Shipping

    Estimated delivery timeframes vary by vendor and destination. All products ship from EU warehouses. Shipping costs are displayed before checkout confirmation. The risk of loss transfers to you upon physical delivery of the products.

    7. Right of Withdrawal (14-Day Cooling-Off Period)

    You have the statutory right to withdraw from this contract within 14 days without giving any reason. The withdrawal period will expire 14 days from the day you acquire physical possession of the goods.

    • How to exercise: Contact us via email or use the model withdrawal form available at our Right of Withdrawal Policy.
    • Refunds: We will reimburse all payments received from you, including standard delivery costs, within 14 days of receiving your withdrawal notice. However, we may withhold the reimbursement until we have received the goods back from you, or until you have supplied evidence of having sent back the goods, whichever is the earliest.
    • Exceptions: The right of withdrawal does not apply to custom-made or personalized goods, perishable goods, sealed goods unsealed after delivery (for hygiene/health reasons), or digital content where performance has begun with prior express consent.

    8. Legal Guarantee of Conformity

    You benefit from a 2-year legal guarantee that the goods conform to the contract under EU law (Directive 2019/771).

    • During the first 12 months, any defect is presumed to have existed at the time of delivery.
    • Remedies include repair, replacement, price reduction, or a full refund.
    • Depending on the transaction model (see Section 2), either Salp B.V. or the vendor is liable for this guarantee.

    9. Returns & Refunds (Beyond Withdrawal)

    For defective products or incorrect deliveries, returns are free and you are entitled to a full refund or replacement. Refunds are issued to the original payment method within 14 days of receipt of the returned item. See our Returns Policy for more details.

    10. Liability

    • Deemed Supplier Orders: Salp B.V. bears seller liability for product conformity, delivery, and withdrawal handling.
    • Agent Orders: The vendor bears seller liability; Salp B.V. facilitates but is not the contracting seller.

    Salp B.V.'s platform liability is limited to platform availability and payment processing errors. We are not liable for indirect, incidental, or consequential damages arising from platform unavailability, to the extent permitted by law. Nothing in these terms limits your mandatory consumer rights under applicable national law.

    11. Product Safety, Recalls, and Liability

    All products listed on the Platform must comply with EU product safety standards (General Product Safety Regulation (EU) 2023/988). If you become aware of a product safety issue, please contact us as fast as possible. We will communicate any product recalls initiated via the EU Safety Gate system.

    Under the applicable product liability framework (Directive 85/374/EEC and, for products placed on the market after 9 December 2026, Directive (EU) 2024/2853), consumers have strict liability rights against manufacturers or importers for damages caused by defective products. Under the Deemed Supplier model, Salp B.V. will cooperate with consumers to identify the liable manufacturer or importer within the one-month period established under the incoming Product Liability Directive.

    12. Data Protection & Privacy

    Your privacy is important to us. Please review our Privacy Policy and Cookie Policy to understand how we process your personal data.

    13. Alternative Dispute Resolution & Remedies

    1. Step 1: Contact Salp customer support at support@salp.shop.
    2. Step 2: If a dispute cannot be resolved internally, you have the right to submit your complaint to an approved Alternative Dispute Resolution (ADR) entity (for example, the Geschillencommissie Thuiswinkel in the Netherlands, or your national equivalent).

    (Note: Pursuant to Regulation (EU) 2024/3228, the European Commission's Online Dispute Resolution (ODR) platform was permanently discontinued on 20 July 2025.)

    Nothing in these terms prevents you from pursuing statutory legal remedies in the competent national courts.

    14. Governing Law & Jurisdiction

    These terms are governed by the laws of the Netherlands. However, mandatory consumer protection rules of your country of residence apply where they offer greater protection. Jurisdiction lies with the courts of Amsterdam, without prejudice to mandatory consumer jurisdiction rules.

    15. Amendments

    We may amend these terms with 30 days' advance notice via email and/or website notification. Continued use after the notice period constitutes acceptance. If you disagree, you may close your account before the changes take effect.

    16. Miscellaneous

    • Severability: If any provision is invalid, remaining provisions continue in full force.
    • Governing Language: These Terms are provided in your local language; however, the Dutch version acts as the fallback governing version in case of discrepancies.
    • Entire Agreement: These terms, alongside with our Privacy Policy and Cookie Policy, constitute the full agreement between us.
